Tonai

The short version. Tonai is a practice tool for musicians. You get a personal licence to use it. Subscriptions are billed by Apple or Google and renew automatically until you cancel, which you do in your store account. The AI feedback is an automated teaching aid, not a teacher and not a medical or professional opinion — use your own judgement, and stop playing if something hurts. We stand behind the app, but our liability is limited to what you paid us. Nothing here removes the rights you have as a consumer under the law of your country.
These Terms of Use (the "Terms") are a binding agreement between you and us governing your use of the Tonai mobile application, the tonai.app website and any related services (together, "Tonai"). They also serve as the End User Licence Agreement (EULA) for the app.
By downloading, installing or using Tonai you accept these Terms and our Privacy Policy. If you do not accept them, do not use the app.
Tonai is developed and operated by Emiliano Spinoso, an individual sole trader established in Spain ("we", "us", "our"). Contact: emilianospinoso@gmail.com.
Your agreement is with us, not with Apple or Google. They distribute the app and process payment, and their own terms apply to those roles.
We grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to install and use Tonai on devices you own or control, for your own musical practice or teaching, in accordance with these Terms and with the usage rules of the store you obtained it from.
Tonai is licensed to you, not sold. We retain all rights not expressly granted here.
You must be at least 13 years old (or the minimum digital consent age in your country, which is 14 in Spain and may be up to 16 elsewhere in the EU) to use Tonai on your own. Younger musicians may use it under the supervision of a parent, guardian or teacher, who accepts these Terms on their behalf. If you are entering into these Terms on behalf of a school or ensemble, you confirm you are authorised to do so.

We may suspend or terminate access that breaches this section, and we may apply rate limits without notice where necessary to protect the service.
Tonai offers substantial functionality at no cost, including on-device pitch detection, the tuner, the metronome, scale practice and the offline analysis report. Some features that rely on external AI processing carry a daily allowance in the free tier, and higher but still finite limits for subscribers. These limits exist because each AI request has a real cost; they are stated in the app and may be adjusted over time. We will not reduce a limit in a way that materially degrades a paid subscription you have already bought during its current billing period.
Tonai Pro is offered as an auto-renewing subscription, monthly or yearly, and may be preceded by a free trial (currently one week; the exact duration and price shown in the app at the time of purchase prevail).
You cancel a subscription in your store account, not in Tonai: on iOS, Settings → your name → Subscriptions; on Android, Play Store → Subscriptions. Cancelling stops the next renewal; you keep Pro access until the end of the period you already paid for. Deleting the app does not cancel a subscription.
Refunds are handled by the store, under Apple's or Google's own policy — we cannot issue them directly. If a store declines a refund you believe is due, write to us anyway and we will try to help.
EU/EEA consumers — right of withdrawal. You normally have 14 days to withdraw from a distance contract. For digital content and services supplied immediately, that right is lost once supply has begun with your express consent and your acknowledgement that you thereby lose it — which is what happens when you start using Tonai Pro straight after purchase. This does not affect your statutory rights if the service is faulty or not as described.
Tonai's AI features generate written coaching automatically from measurements of your playing, using a large language model operated by a third-party provider.
Playing an instrument is physical activity. Tonai encourages repetition and streaks, and it is your responsibility to practise sensibly: warm up, take breaks, and stop immediately if you feel pain, numbness or strain, seeking advice from a doctor or a qualified teacher. Do not use Tonai while driving, cycling or in any situation where distraction is dangerous. Keep playback and metronome volume at safe levels, particularly with headphones, to protect your hearing. We are not responsible for injury resulting from practice undertaken while using the app.
Tonai's measurements depend on your device and on the conditions you play in, and are not laboratory-grade. They are indicative and intended as practice guidance. Do not rely on Tonai as a calibration or measurement instrument, or as the sole basis for any assessment, audition decision, examination result or purchase of an instrument.
Tonai, including its software, design, user interface, name, logo and content, is owned by us and protected by intellectual property law. These Terms grant you no right to use our name or marks except to refer to the app fairly and accurately.
Your data is yours. Your recordings never leave your device, and your practice history, profile and results remain yours. By using the AI features you grant us only the limited right to transmit and process the measurements described in the Privacy Policy in order to produce your feedback. We do not use your practice data to train AI models.
If you share a result card generated by Tonai, you are responsible for what you publish. The AI-generated text in your reports is yours to use freely for your own practice.
Tonai relies on third-party services (the app stores, RevenueCat, Google Firebase, Anthropic and our hosting provider). Their own terms and privacy policies govern their services, and we are not responsible for their acts or omissions beyond what the law requires of us as their customer. The providers we use are listed in the Privacy Policy.
We aim to keep Tonai working well, but we do not guarantee uninterrupted or error-free operation. We may update, modify, add or remove features, and we may discontinue the app or a service. If we permanently discontinue a paid service, we will give reasonable notice and, where you have paid for a period you can no longer use, a pro-rata refund arranged through the relevant store.
Tonai requires a compatible device and, for some features, an internet connection. Data charges from your carrier are your responsibility.
You may stop using Tonai at any time by uninstalling it (remember to cancel any subscription separately, as explained in section 8). We may suspend or terminate your licence if you materially breach these Terms, in particular section 5; where the breach is capable of being remedied and no urgent risk exists, we will ask you to remedy it first. Sections that by their nature should survive termination — including sections 12, 16, 17, 18, 19 and 20 — do so.
To the maximum extent permitted by law, Tonai is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the app will meet your requirements, that its measurements or AI output will be accurate, or that defects will be corrected.
Consumers: some jurisdictions do not allow the exclusion of implied warranties, and this section applies to you only to the extent permitted there. In particular, nothing in these Terms limits the statutory conformity rights (legal guarantee) that consumers in the EU, the UK and other jurisdictions have in respect of digital content and services.
To the maximum extent permitted by law, we shall not be liable for indirect, incidental, special, consequential or punitive damages, nor for loss of profit, opportunity, data or goodwill, arising out of or in connection with your use of or inability to use Tonai — including reliance on AI feedback or on measurements, unavailability of the service, or loss of practice data stored on your device.
Our total aggregate liability for all claims arising in any twelve-month period is limited to the greater of (a) the amount you actually paid us for Tonai in that period, or (b) EUR 50.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for wilful misconduct or gross negligence, or for any other liability that cannot lawfully be excluded — including, for consumers, liability under mandatory consumer protection law.
You are responsible for keeping your own backups. Practice data lives on your device; loss or replacement of the device, or uninstalling the app, will remove it.
If you use Tonai in breach of these Terms or of applicable law, you agree to indemnify us against third-party claims, damages and reasonable costs directly resulting from that breach. This does not apply to consumers to the extent such an obligation would be unenforceable under mandatory consumer law.
These Terms are governed by Spanish law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.
If you are a consumer, this choice does not deprive you of the protection of the mandatory provisions of the law of your country of habitual residence, and you may bring proceedings in the courts of that country. We will bring any claim against a consumer only in the courts of their country of residence.
If you are not a consumer, the courts of Spain have exclusive jurisdiction.
Before starting formal proceedings, please write to emilianospinoso@gmail.com: the overwhelming majority of issues are resolved in a couple of emails. Consumers in Spain may also seek alternative dispute resolution through the consumer arbitration system (Sistema Arbitral de Consumo) or their regional consumer authority; we are not currently bound to any particular ADR body.
This section applies only to users resident in the United States and does not apply to consumers in the EU, the EEA, the UK or any jurisdiction where it is unenforceable. It affects how disputes are resolved. Please read it.
You and we agree that any dispute arising out of or relating to Tonai or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court. The arbitration will take place in the county where you reside or, at your option, by videoconference or on the documents alone.
Class action waiver. Claims may be brought only in your individual capacity, and not as a plaintiff or class member in any purported class, consolidated or representative proceeding. The arbitrator may not consolidate more than one person's claims and may award relief only in favour of the individual party seeking it. If this waiver is found unenforceable as to a particular claim, that claim — and only that claim — shall proceed in court.
Opt-out. You may reject this arbitration agreement by emailing emilianospinoso@gmail.com with the subject "Arbitration Opt-Out", stating your name and the store account used, within 30 days of first accepting these Terms. Opting out costs you nothing and affects no other part of these Terms.
Informal resolution first. Before initiating arbitration, you agree to describe the dispute to us in writing and give us 60 days to resolve it.
Any claim must be filed within one year of the date the claim arose, to the extent such a limitation is permitted by applicable law.

If you obtained Tonai from Google Play, these Terms are between you and us only. Google is not a party, is not responsible for Tonai, and provides no support for it. Your use is also subject to the Google Play Terms of Service, and purchases are subject to Google's payment and refund policies.
